Rule 15a-6 under the U.S. Securities Act of 1934 governs the U.S. securities activities of non-U.S. broker-dealers. The rule provides conditional exemptions from U.S. broker-dealer registration for non-U.S. firms wishing to conduct sales and trading, research, investment banking and M&A activities with U.S. institutional investors. Most permitted activities must be conducted through a U.S. registered broker-dealer intermediary.
